Services.exe terminates with -1 status code

I have an XP box that I manage remotely. I just put the box in about two

weeks ago, but I have been getting an error when I log in that says "The

system process 'C:\WINNT\system32\services.exe' terminated unexpectedly with

status code -1. The system will now shut down and restart."

 

How long its been sitting there in that state by the time I login I cannot

tell. Often times when it restarts, I have trouble remoteing into the

system. It appears to connect but the login dialog never appears even though

I see a background. Having to drive out to this office daily is not an

option. I cannot find anything on the Microsoft site (or a general google

search) to indicate the problem and the Event View logs are, as yet not very

helpful, although I have trouble getting to them half the time after the

system reboots.

 

any suggestions would be very much appreciated! I'm at a loss on this one.
