This motherboard has integrated Ethernet, sound, and USB and is not the same model/brand as the original. I will be keeping the same memory, CPU, DVD, keyboard, display, power supply and hard drive. At what point is an upgraded PC considered another PC?

A repair install might work but doubtful. If it's been over 120 days since you changed any hardware and/or activated, it will activate on line. If not, you'll have to phone activate. You are only required to give them the number that appears on the phone activation applet, nothing more. If they ask, personally, and to avoid problems, I would tell them I had a virus I couldn't get rid of so I reinstalled XP. What hardware you're running is none of their business.
