Bogus copy of Windows being replaced, but got the wrong version

Found out I have a spoofed copy of Windows Ultimate, received a replacement as a gift but it is Home Premium instead. Is there a non-destructive way to downgrade Windows to Home Premium this since it won't accept the key, and opened software is non-returnable?

Stripping and rebuilding the hard drive is as welcome as receiving a rectal exam by Andre the Giant.
