Update KB2761217 will not install???error 8024200D appears??????

Since January 9, 2013 I am unable to update automatically nor manually when I open Windows Update. One update does not insatall and shows error 8024200D.  I have tried everything and the update is KB2781217.... I have tried everything and not even chat

or Windows support via online or phone can take care of this problem..... Maybe I should call Bill Gates....Unbelievable..Please HELP
