Can I sell my Windows XP Home Upgrade version?

My old computer had windows 98 OEM version on it i believe and I went to the store and bought Windows XP Home Edition Upgrade.  The computer is now dead and the hard drive has viruses on it so I'm going to drill holes in the thing.Anyway, I still have the Windows XP Home Edition Upgrade box with the software.  Is there any problem with me going ahead and selling it?Thanks
