I have a HP DL360G5 server with Windows 2003 SP1 that would restart instead of shutting down. Searched the HP boards and discovered it was a NIC driver issue. Upgraded the server NIC Driver "HP NC-Series Multifunction Driver" to the latest version 3.4.10.0 to resolve the issue.
