TS Licensing (Upgrade to 2008)

I have a client running a 2003 R2 box with TS Licensing Server and 10

CALs. They do NOT have SA.

 

If they upgrade this box to 2008, will they need to get new CALs for

the TS?

 

If yes, what if they left this box alone, purchased a new machine with

2008, and just referenced the 2003 Licensing Server?

If you install (fresh or through an in-place upgrade) a Windows 2008

TS, you will need 2008 TS CALs.
